Terms of Service

1. Acceptance of Terms

By accessing or using the PayMates mobile application ("App") and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service.

PayMates is operated by PayMates Labs ("we," "our," or "us"). These Terms constitute a legally binding agreement between you and PayMates Labs.

PLEASE READ THESE TERMS CAREFULLY, INCLUDING THE ARBITRATION AGREEMENT AND CLASS ACTION WAIVER IN SECTION 15.

2. Description of Service

PayMates is an expense-sharing and bill-splitting application that allows users to:

  • Track shared expenses with friends, roommates, and groups
  • Scan receipts using camera and photo library access
  • Settle debts through various payment methods
  • Manage group expenses and view balances
  • Access premium features through subscription plans

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. User Accounts

3.1 Account Creation: To use PayMates, you must create an account using a valid email address. You must provide accurate and complete information and keep this information up to date.

3.2 Age Requirement: You must be at least 13 years old (or 16 in the EEA) to use PayMates. By creating an account, you represent that you meet this age requirement. If you are between 13-18 years old, you represent that your parent or legal guardian has reviewed and agreed to these Terms.

3.3 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to immediately notify us at support@paymates.app of any unauthorized use or security breach.

3.4 Account Termination: We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, harmful behavior toward other users, or for any other reason at our sole discretion. Upon termination, your right to use the Service immediately ceases.

3.5 Effect of Termination: Upon account termination, you will lose access to all data associated with your account. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

4. User Content and Conduct

4.1 Your Content: You retain ownership of all content you upload to PayMates, including expense details, notes, and receipt images. By uploading content, you grant us a limited, worldwide, non-exclusive, royalty-free license to use, store, process, and display it as necessary to provide the Service. For full details, see our Content Rights Policy.

4.2 Prohibited Conduct: You agree not to:

  • Use the Service for any illegal purpose or to violate any laws
  • Upload malicious code, viruses, or harmful content
  • Harass, abuse, threaten, or harm other users
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Use the Service to commit fraud or misrepresent expenses
  • Scrape, copy, or reverse engineer any part of the Service
  • Interfere with or disrupt the Service or servers
  • Create multiple accounts to abuse features or circumvent restrictions
  • Use automated scripts or bots to access the Service
  • Impersonate any person or entity

4.3 Accuracy of Expenses: You are solely responsible for ensuring the accuracy of all expense information you enter. PayMates is a tool to facilitate expense tracking and is not responsible for disputes between users.

4.4 Content Monitoring: We do not actively monitor user content but reserve the right to review, remove, or disable access to any content that violates these Terms or is otherwise objectionable, at our sole discretion.

5. Payments and Subscriptions

5.1 Pro Subscription: PayMates offers a free tier and a single premium subscription plan called "Pro" which is available on both monthly and yearly billing cycles. The Pro subscription unlocks premium features including unlimited expense tracking, priority support, and advanced analytics.

5.2 Payment Processing:

  • iOS Users: Subscriptions are processed through Apple In-App Purchases. All billing, cancellations, and refunds are managed through your Apple ID account settings and are subject to Apple's Terms of Service.
  • Android Users: Subscriptions are processed through Stripe. Payment is handled securely through Stripe's payment gateway.

5.3 Billing and Auto-Renewal: Subscriptions automatically renew at the end of each billing period (monthly or yearly) unless canceled at least 24 hours before the renewal date. You authorize us (or the applicable payment processor) to charge the applicable subscription fee to your payment method on each renewal date until you cancel.

5.4 Price Changes: We reserve the right to change subscription prices. Any price changes will be communicated at least 30 days in advance and will not affect your current subscription period.

5.5 Cancellation:

  • iOS Users: Cancel through Settings > Apple ID > Subscriptions
  • Android Users: Cancel through the app settings or by contacting support@paymates.app

5.6 Refunds:

  • iOS Users: Refund policies are governed by Apple's refund policies
  • Android Users: Contact support@paymates.app for refund requests. Refunds may be issued at our discretion within 14 days of purchase

5.7 Free Trials: If we offer a free trial, you may be required to provide payment information upfront. You will be charged the subscription fee at the end of the trial period unless you cancel before the trial ends. Trial eligibility is limited to one trial per user.

5.8 External Payments: PayMates facilitates tracking of payments made between users but does not directly process peer-to-peer payments. Any external payment arrangements are solely between users, and we bear no responsibility for such transactions.

6. Intellectual Property

The Service and its original content, features, functionality, trademarks, and logos are owned by PayMates Labs and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not copy, modify, distribute, sell, license, or lease any part of our Service, use our trademarks without permission, or attempt to extract source code without our express written permission.

Feedback: If you provide suggestions, ideas, or feedback about the Service, you grant us an unrestricted, perpetual, royalty-free license to use and incorporate such feedback without compensation to you.

7. Third-Party Services

PayMates integrates with third-party services including:

  • Google AdMob: For advertising
  • Clerk: For authentication
  • Stripe: For subscription payment processing (Android users only)
  • Apple In-App Purchases: For subscription processing (iOS users only)
  • Google Cloud: For storage and processing

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices, availability, or content of these third parties. Any issues arising from third-party services should be addressed directly with those providers.

8. Disclaimers

8.1 "AS IS" Service: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

8.2 No Guarantee: We do not warrant that (a) the Service will meet your requirements, (b) the Service will be uninterrupted, timely, secure, or error-free, (c) the results from using the Service will be accurate or reliable, or (d) any errors will be corrected.

8.3 No Financial Advice: PayMates is a tool for expense tracking and does not provide financial, legal, tax, or accounting advice. You should consult qualified professionals for such advice.

8.4 User Disputes: We are not responsible for disputes between users regarding expenses, payments, or settlements. Users are solely responsible for resolving such disputes. PayMates does not verify the accuracy of expense information entered by users.

8.5 Receipt Scanning: While we strive for accuracy in our receipt scanning feature powered by Google Cloud Vision, we do not guarantee 100% accuracy. Users should verify all scanned data before confirming expenses.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PAYMATES LABS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, use, goodwill, or other intangible losses
  • Your use or inability to use the Service
  • Unauthorized access to or alteration of your data
  • Conduct or content of third parties on the Service
  • Disputes between users regarding expenses or payments
  • Any errors or inaccuracies in receipt scanning

LIABILITY CAP: IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100 USD).

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless PayMates Labs, its officers, directors, employees, agents, affiliates, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Any content you upload or share through the Service
  • Your violation of any applicable laws or regulations

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

11. Privacy

Your use of PayMates is also governed by our Privacy Policy. Please review our Privacy Policy at paymates.app/privacy to understand how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through a prominent notice in the App at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of any changes constitutes acceptance of the modified Terms. If you do not agree to the updated Terms, you must stop using the Service and delete your account.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Subject to the arbitration provisions below, any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you consent to personal jurisdiction in these courts.

14. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemic, war, terrorism, riots, civil unrest, government action, labor disputes, power failures, internet or telecommunications failures, or cyberattacks.

15. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

15.1 Informal Resolution: Before filing any claim, you agree to first contact us at legal@paymates.app and attempt to resolve the dispute informally for at least 30 days.

15.2 Binding Arbitration: If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted in English, and the seat of arbitration shall be Delaware, USA. The arbitrator's decision shall be final and binding.

15.3 CLASS ACTION WAIVER: YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US AND YOU INDIVIDUALLY. TO THE FULLEST EXTENT PERMITTED BY LAW: (A) NO ARBITRATION SHALL BE JOINED WITH ANY OTHER PROCEEDING; (B) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED ON A CLASS-ACTION BASIS OR TO UTILIZE CLASS ACTION PROCEDURES; AND (C) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC OR ANY OTHER PERSONS.

15.4 Exceptions: Either party may bring claims in small claims court if the claims qualify. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights.

15.5 Opt-Out: You may opt out of this arbitration agreement by sending written notice to legal@paymates.app within 30 days of first accepting these Terms. If you opt out, you may pursue claims in court.

16. General Provisions

16.1 Entire Agreement: These Terms, together with the Privacy Policy and Content Rights Policy, constitute the entire agreement between you and PayMates Labs regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

16.2 Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16.3 Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of PayMates Labs.

16.4 Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms freely.

16.5 Headings: Section headings are for convenience only and shall not affect the interpretation of these Terms.

16.6 Survival: Sections regarding intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and any provisions that by their nature should survive shall survive termination of these Terms.
